Overview

Prairie Bookkeeping ("us", "we", or "our") partners with women small business owners across the United States who are tired of feeling overwhelmed by their bookkeeping. We help you move from "I have no idea what story my numbers are telling" to "I can understand exactly what my data reveals about my business" so you can confidently write the next chapter of your success story and focus on what you do best: growing the business you built with purpose.

These Terms of Service ("Terms") govern your access to and use of our website, prairiebookkeeping.com, as well as the bookkeeping and financial clarity services we provide.

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services.

Services Provided

Prairie Bookkeeping offers the following services, which may be customized based on individual client needs:

Foundation Services:

  • Financial Clarity Setup (setup and training for QuickBooks®)

  • Financial Foundation Reset (cleanup and optimization for QuickBooks®)

  • Get Current Package (catch-up bookkeeping services)

 

Ongoing Services:

  • Monthly Financial Partnership (ongoing bookkeeping with strategic insights)

 

One-Time Analysis Services:

  • Confident Pricing Analysis packages (pricing strategy analysis and recommendations)

  • Historical Financial Analysis (deep analysis of historical data for cash flow patterns and insights)

 

Additional Services:

  • Year-end preparation of 1099s

 

The specific services to be provided to each client will be outlined in a formal proposal and engagement letter. Our engagement letters supersede any conflicting provisions in these Terms.

Client Responsibilities

Clients engaging our services are responsible for:

  1. Providing all documents and information required for the preparation of financial reports in a timely manner

  2. Ensuring the accuracy and completeness of all information provided

  3. Maintaining original documents and data that form the basis of financial information

  4. Responding promptly to our inquiries regarding financial information

  5. Paying all fees according to the agreed-upon schedule

  6. Providing read-only online access to relevant financial accounts when necessary

  7. Notifying us promptly of any changes to business operations that may impact bookkeeping services

Service Limitations

Our services are subject to the following limitations:

 

Professional Scope:

  1. Prairie Bookkeeping is a professional bookkeeping service. We are not certified public accountants (CPAs), tax professionals, or financial planners. Our services are limited to bookkeeping, financial data organization, and business insights based on financial information.

  2. We do not perform compilations, reviews, or audits of financial information unless specifically contracted

  3. We do not provide legal services of any type

  4. We do not provide tax return preparation, tax advice, or tax filing services unless specifically contracted

  5. We do not provide financial planning, investment advice, or other services requiring professional licensing

  6. We are not responsible for discovering errors, misrepresentations, fraud, illegal acts, or theft

  7. Reports produced are intended for internal management purposes only, not for third-party use

  8. Financial reports we provide are not intended to reflect generally accepted accounting principles (GAAP) unless specifically requested and agreed upon

  9. Additional services outside the standard scope will be billed separately at agreed-upon rates

Intellectual Property

  1. All content on our website, including text, graphics, logos, and software, is our property or the property of our licensors and is protected by copyright and other intellectual property laws

  2. You may not reproduce, distribute, modify, or create derivative works from any content on our website without our express written permission

Termination

  1. Either party may terminate the service relationship with thirty (30) days written notice to the other

  2. During the 30-day termination period, projects in process shall be completed if possible, and no other work shall be undertaken unless agreed upon in writing

  3. Upon termination, the client remains responsible for payment of all services rendered prior to termination

Limitation of Liability

  1. Prairie Bookkeeping's total liability for any breach of our agreement, for any failure to perform, for claims relating to or arising out of our services, and for our own ordinary negligence, regardless of the form of action, shall be limited to the most recent monthly amount billed for services

  2. We are not liable for any losses resulting from advice provided by us, work done by us, or for loss of profits of the client or any other party

  3. Neither party may bring any action arising out of our services, regardless of form, more than one year after the date of the last services provided

Indemnification

As a condition of receiving our services, clients agree to release, indemnify, defend, and hold harmless Prairie Bookkeeping, its officers, directors, employees, and agents from and against any claims, demands, suits, liabilities, losses, costs, and expenses (including attorneys' fees) arising out of or in connection with any known misrepresentations or fraud committed by management or employees of the client, or errors resulting from incomplete or inaccurate information provided by the client.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Iowa without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Iowa.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our website or services after such changes constitutes your acceptance of the revised Terms.
